3. Engagement and Contracts
All engagements with Value Chain Architects are governed by a separate Statement of Work (SOW) or Service Agreement signed by both parties. These Terms and Conditions apply in conjunction with any such agreement. In the event of conflict, the signed agreement takes precedence.

• Indirect, incidental, or consequential damages arising from the use of our services
• Decisions made by the client based on recommendations provided
• Any loss of revenue, profit, or business opportunity
Our total liability in any engagement shall not exceed the total fees paid by the client in the three months preceding the claim.
7. Payment Terms
Payment terms are specified in the individual SOW or invoice. Unless otherwise agreed:
• Invoices are payable within 30 days of issue
• Late payments may incur interest as permitted by applicable law
• VCA reserves the right to pause or terminate services in the event of non-payment
